1. Acceptance of Terms
By accessing or using the Partython AI platform ("Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms. If you do not agree, you may not use the Service.
2. Description of Service
Partython AI provides a multi-tenant, white-label conversational AI platform that enables businesses to deploy AI-powered agents across messaging channels including WhatsApp, Instagram, Messenger, email, and web chat. The Service includes AI agent management, a knowledge base (the Brain Engine), analytics, and related tools. Some features and channels are released progressively; availability is indicated on our product and integrations pages.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must notify us immediately of any unauthorized access. We reserve the right to suspend accounts that violate these terms.
4. Acceptable Use
You agree not to use the Service to: (a) violate any applicable law or regulation; (b) transmit harmful, threatening, or harassing content; (c) impersonate any person or entity; (d) interfere with or disrupt the Service or its infrastructure; (e) attempt to gain unauthorized access to other accounts or systems; (f) use the AI agents to generate misleading, deceptive, or fraudulent content; or (g) resell access to the Service without authorization under a white-label agreement.
5. Intellectual Property
The Service, including its design, features, code, and documentation, is owned by Partython Private Limited and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service. Content you upload or create using the platform (such as knowledge base documents and raw conversation transcripts) remains your property. However, all platform-generated outputs, including proprietary vector embeddings, machine learning weights, trained model parameters, and platform-derived optimization data, are owned exclusively by Partython Private Limited and are non-portable. White-label customers retain full ownership of their branded deployments and marks, but not the underlying platform-generated model parameters.
6. Pricing & Payments
Subscription fees are billed monthly or annually, as selected during signup. Fees are charged in the currency shown at checkout for your region, and the applicable amount is always displayed before you confirm payment. Payments are processed by our payment providers (Stripe and, for some regions, Razorpay). We reserve the right to change pricing with 30 days' written notice; changes do not affect the current paid term. Failed payments may result in service suspension after a 7-day grace period. Refunds are governed by our separate Refund Policy.
7. Service Level & Uptime
We target 99.9% platform uptime, measured monthly. Scheduled maintenance windows are communicated at least 48 hours in advance and excluded from uptime calculations. Enterprise customers may negotiate custom SLAs. We are not liable for downtime caused by third-party providers, force majeure events, or customer-side issues.
8. Data & Privacy
Our handling of personal data is governed by our Privacy Policy. You are responsible for ensuring that your use of the Service complies with applicable data protection laws, including obtaining the necessary consents from your end users. For conversation data processed through the platform, you are the data controller and Partython acts as the data processor on your behalf. A Data Processing Agreement (DPA) is available on request — see our DPA page for details.
9. Limitation of Liability
To the maximum extent permitted by law, Partython Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability for any claim arising from these terms shall not exceed the fees you paid in the 12 months preceding the claim.
10. Termination
Either party may terminate the agreement with 30 days' written notice. We may terminate immediately if you breach these terms. Upon termination, your access to the Service will cease. You may request an export of your raw customer data (such as uploaded knowledge base text and raw conversation history) within 30 days of termination, after which it will be permanently deleted. For the avoidance of doubt, this export right does not extend to any platform-generated model weights, trained parameters, embeddings, or other derived AI configurations, which remain non-portable and property of the platform.
11. Governing Law
These terms are governed by the laws of India. Any disputes shall be resolved through arbitration in Chennai, India, under the Arbitration and Conciliation Act, 1996. If arbitration is not applicable, the courts of Chennai shall have exclusive jurisdiction.
12. Changes to Terms
We may update these terms from time to time. Material changes will be communicated via email at least 14 days before taking effect. Continued use of the Service after changes constitutes acceptance. If you disagree with changes, you may terminate your account before they take effect.
